I spoke on a panel about Director Composition & Recruitment for Small and Mid-Cap Companies at the Society for Corporate Governance’s Annual Conference in Washington, DC. To the left is Adam Kokas, EVP/General Counsel of Atlas Air and right is Beth Stewart, CEO, Trewstar Corporate Board Services. We discussed the role of the Nominating & Governance Committee, board composition and diversity, the director recruitment process, activist investors, and board refreshment. The bottom line was the importance of fit and chemistry on a board, as well as one format/policy does not fit all companies.
